1. Acceptance of Terms

By accessing or using ShipXray ("the Service"), operated by Trust Analytica Information Services L.T.D. ("we", "us", "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, do not use the Service. By creating an account or connecting a third-party store, you confirm that you have read, understood, and accepted these terms in their entirety.

2. Description of Service

ShipXray is a read-only shipping intelligence platform. We analyze shipping data from e-commerce stores to provide cost insights, carrier comparisons, delivery performance metrics, and optimization recommendations. ShipXray does not execute shipments, generate shipping labels, process payments on your behalf, or modify any data in your connected stores. All shipping decisions remain solely with you.

3. Data You Provide & Connect

When you use ShipXray, you may provide data in two ways: (a) by entering a store URL for public crawl-based analysis, or (b) by connecting a store platform (Shopify, WooCommerce, Amazon, or other supported platforms) via OAuth or API integration.

By connecting your store, you grant ShipXray and Trust Analytica Information Services L.T.D. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to access, retrieve, store, process, analyze, aggregate, anonymize, transform, display, distribute, and otherwise use the data made available through that connection for any lawful business purpose. This includes but is not limited to: order data, shipment records, fulfillment data, carrier information, tracking data, product data, customer shipping addresses (postal codes and regions only — we do not store full customer names or street addresses for non-account holders), store configuration, shipping policies, warehouse locations, and related metadata. This license survives disconnection of your store or termination of your account with respect to any data that has been anonymized or aggregated prior to such disconnection or termination.

4. Use of Name and Logo

By creating an account or activating a free or paid feature of the Service, you grant Trust Analytica Information Services L.T.D. and ShipXray a non-exclusive, worldwide, royalty-free license to use your company name, logo, trademarks, service marks, and brand identifiers to:

(a) identify you as a ShipXray customer or user on our website, marketing materials, pitch decks, investor communications, sales collateral, partner portals, and application stores;

(b) reference your use of the Service in testimonials, case studies, blog content, podcasts, press releases, and public benchmarking materials, provided that no confidential business data is disclosed without your further consent;

(c) display your logo in customer lists, "trusted by" sections, integration pages, carrier coverage showcases, and similar displays.

This license continues for the term of your account and for a reasonable wind-down period following termination. You may opt out at any time by emailing support@shipxray.com or toggling the "Marketing use of logo" setting in your account. Upon opt-out, we will remove your name and logo from active marketing materials within 30 days. Opt-out does not require recall of materials already distributed (e.g., printed decks, sent emails, archived investor updates).

Nothing in this section grants you any right to use ShipXray's name, logo, or trademarks, which remain our exclusive property.

5. Public Analysis of E-Commerce Stores

ShipXray analyzes publicly available information from e-commerce stores to generate shipping intelligence reports, health scores, benchmarks, and public company profiles. These analyses are based solely on information publicly accessible through a standard web browser and do not involve authenticated access, private data, or data obtained through connected platforms.

Use of third-party company names, product names, and other identifiers in such analyses is made as factual, descriptive, and comparative content under principles of nominative fair use and does not imply any partnership, endorsement, affiliation, or sponsorship between ShipXray and the named company. All trademarks referenced remain the property of their respective owners.

If you are an authorized representative of a company profiled on shipxray.com and wish to request removal, correction, or an update to a public profile, please contact us at legal@shipxray.com. We will respond to reasonable requests within 30 days. ShipXray reserves the right, in its sole discretion, to retain factual, non-defamatory analysis of publicly available information where removal is not legally required.

6. How We Use Your Data

We use the data you provide and connect for the following purposes:

Your dashboard and intelligence: To generate shipping audits, health scores, cost comparisons, delivery analytics, and recommendations specific to your store.

Anonymized benchmarking: We may aggregate and anonymize your data to create industry benchmarks, market intelligence reports, and competitive comparisons. Anonymized data will never identify you, your store, or your customers. These benchmarks help all ShipXray users understand how their shipping performance compares to industry norms.

Product improvement: We may use aggregated and anonymized data to improve our algorithms, estimation models, carrier rate databases, and overall service quality.

Public company profiles: For publicly accessible stores, we may publish anonymized shipping performance profiles (health scores, carrier distribution, estimated costs) on our platform. These profiles are derived from publicly available information and do not reveal private order or customer data.

7. Data Accuracy & Limitation of Liability

ShipXray provides shipping intelligence on an "as is" and "as available" basis. Our AI-estimated data (product dimensions, weights, shipping costs) are approximations and may not be accurate. Connected data reflects what your store platform provides to us — we are not responsible for inaccuracies in source data.

You acknowledge that ShipXray is an intelligence tool, not a shipping service. We are not liable for any business decisions you make based on our analysis, any shipping costs, delays, or losses, any carrier rate changes that differ from our comparisons, or any financial impact arising from use of the Service. In no event shall our total liability exceed the amount you paid for the Service in the 12 months preceding the claim.

8. Your Responsibilities

You are responsible for: maintaining the confidentiality of your account credentials, ensuring you have the authority to connect any store or data source to ShipXray, the accuracy of information you provide during registration, complying with all applicable laws regarding the data you share with us, and notifying us promptly if you believe your account has been compromised.

9. Third-Party Integrations

ShipXray integrates with third-party platforms (Shopify, WooCommerce, Amazon, carrier APIs, etc.). We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of connected platforms is also governed by their respective terms of service. We may suspend or modify integrations at any time due to changes in third-party APIs.

10. Subscription, Pricing, and Service Changes

Some features of ShipXray require a paid subscription. Subscription terms, pricing, feature bundles, usage limits, and billing cycles are presented at the time of purchase and may be updated from time to time.

Pricing changes. We may change prices, add new paid tiers, reclassify features between tiers, or introduce usage-based fees. We will provide active paid subscribers at least thirty (30) days' notice of any price increase applicable to their plan, after which continued use of the Service constitutes acceptance of the revised pricing.

Feature changes. We may add, remove, modify, bundle, unbundle, or reprice features at any time without notice. If we materially reduce or remove a feature you actively use, we will make reasonable commercial efforts to provide notice and, where appropriate, a functionally equivalent alternative, but we are not obligated to do so.

Payments and refunds. Payments are processed through a third-party PCI-compliant payment processor. Subscriptions renew automatically at the end of each billing cycle unless cancelled. Cancellation takes effect at the end of the current billing cycle and no pro-rated refunds are issued for partial periods unless required by applicable consumer-protection law. We do not refund fees paid for usage already consumed.

Discontinuation. We may discontinue the Service, any feature, or any plan at any time. If we discontinue a paid plan you are actively subscribed to, we will provide at least thirty (30) days' notice and pro-rate any prepaid fees for the discontinued service.

11. Account Termination

We may suspend or terminate your account if you violate these terms, use the Service for unlawful purposes, or attempt to reverse-engineer, scrape, or redistribute our data or analysis. Upon termination, your right to use the Service ceases immediately. We may retain anonymized and aggregated data derived from your account even after termination, as permitted under Section 6.

12. Intellectual Property

All content, algorithms, analysis methods, health scores, benchmarks, and other intellectual property within ShipXray are owned by Trust Analytica Information Services L.T.D. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our written consent. Your data remains yours — we claim no ownership of the raw data you provide or connect.

13. Modifications to Terms

We reserve the right to modify, amend, or replace these Terms & Conditions at any time, with or without prior notice. Changes become effective immediately upon posting to this page. It is your responsibility to review these terms periodically. Continued use of the Service after any changes constitutes your acceptance of the revised terms. If you do not agree with the updated terms, you must discontinue use of the Service.

14. General Terms

Entire Agreement. These Terms, together with our Privacy Policy and any additional written agreement you enter with us, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated only to the minimum extent necessary, and the remaining provisions shall remain in full force.

No Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure. We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, power outages, pandemics, or actions of third-party service providers.

Notices. We may provide notices to you by email to the address associated with your account, through the Service, or by posting to our website. Notices to us must be sent to legal@shipxray.com.

No Class Actions. To the extent permitted by applicable law, you agree to resolve disputes with us on an individual basis and not as part of any class, collective, or representative action.

15. Governing Law

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Ontario, Canada.
